By accessing or using Shortlistr ("Service", "Platform", "Application"), you agree to comply with and be bound by these Terms of Service. If you do not agree to these Terms, you may not use the Service.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Service after any such changes constitutes acceptance of the revised Terms.
2. Description of Service
Shortlistr is an AI-powered resume screening platform that provides the following services:
- Automated analysis and scoring of candidate CVs against job descriptions
- AI-driven candidate ranking and feedback generation
- Career metrics calculation (tenure, progression, skills diversity, etc.)
- Chat-based Q&A and semantic search across candidate data
- Integration with third-party services (e.g., Google Drive)
- Data export and reporting tools
The Service is provided "as is" and is currently in active development. Features, functionality, and availability may change without notice.
3. User Accounts and Eligibility
3.1 Account Creation
To use certain features of the Service, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorised access or security breach
- Accept responsibility for all activities that occur under your account
3.2 Eligibility
You must be at least 18 years old to use the Service. By using Shortlistr, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms, fraudulent activity, or any other reason we deem appropriate.
4. Acceptable Use
4.1 Permitted Use
You may use Shortlistr solely for lawful purposes related to recruiting, hiring, and candidate evaluation. You agree to use the Service in compliance with all applicable laws and regulations, including data protection and employment laws.
4.2 Prohibited Activities
You agree NOT to:
- Use the Service for any unlawful, discriminatory, or fraudulent purpose
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorised access to the Service, other accounts, or systems
- Reverse engineer, decompile, or disassemble any part of the Platform
- Scrape, crawl, or automatically extract data from the Service
- Use the Service to violate any third-party rights, including privacy or intellectual property rights
- Interfere with or disrupt the Service or servers/networks connected to the Service
- Impersonate any person or entity or misrepresent your affiliation
- Resell, redistribute, or provide access to the Service to third parties without authorisation
4.3 Data Upload Responsibilities
You are solely responsible for ensuring that you have the legal right to upload and process candidate CVs and job descriptions. You must obtain all necessary consents and comply with applicable data protection laws (e.g., GDPR, CCPA) when collecting and processing personal data.
5. Intellectual Property
5.1 Shortlistr's Intellectual Property
All content, features, and functionality of the Service, including but not limited to software, algorithms, designs, text, graphics, logos, and trademarks, are owned by Shortlistr or its licensors and are protected by copyright, trademark, and other intellectual property laws.
5.2 Your Content
You retain all rights to the content you upload to the Service (job descriptions, CVs, screening criteria, etc.). By uploading content, you grant Shortlistr a non-exclusive, worldwide, royalty-free licence to:
- Use, process, and analyse your content to provide the Service
- Store and transmit your content on our servers and infrastructure
- Use aggregated, anonymised data for platform improvement and analytics
This licence terminates when you delete your content or close your account, except for content that has been shared or aggregated.
5.3 Feedback and Suggestions
Any feedback, suggestions, or ideas you provide about the Service become the property of Shortlistr, and we may use them without obligation or compensation to you.
6. AI and Algorithm Disclosures
6.1 AI-Generated Results
Shortlistr uses artificial intelligence and machine learning algorithms to analyse CVs and generate candidate scores. While we strive for accuracy, AI-generated results may contain errors, biases, or inaccuracies. You acknowledge that:
- AI results are probabilistic and should not be the sole basis for hiring decisions
- You are responsible for reviewing and validating AI-generated insights
- Shortlistr does not guarantee the accuracy, completeness, or fairness of AI outputs
- You should apply human judgement and comply with employment laws when making hiring decisions
6.2 Third-Party AI Services
Shortlistr uses third-party AI services (e.g., OpenAI) to process content. By using the Service, you consent to your data being processed by these third-party providers in accordance with their terms and privacy policies.
6.3 Bias and Fairness
We are committed to reducing bias in our AI algorithms. However, AI systems may inadvertently perpetuate biases present in training data or inputs. You are responsible for ensuring compliance with anti-discrimination laws and conducting fair hiring practices.
7. Payment and Fees
Shortlistr is currently provided as a minimum viable product (MVP) for testing and feedback purposes. Pricing and payment terms may be introduced in the future. We will provide advance notice before implementing any fees.
If paid features are introduced, you agree to pay all applicable fees in accordance with the pricing structure in effect at the time. All fees are non-refundable unless otherwise stated.
8. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using Shortlistr, you consent to the practices described in the Privacy Policy.
You acknowledge that candidate CVs and job descriptions may contain sensitive personal information. You are responsible for complying with all applicable data protection laws when using the Service.
9. Disclaimers and Limitations of Liability
9.1 No Warranty
The service is provided "as is" and "as available" without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that AI-generated results will be accurate or reliable.
9.2 Limitation of Liability
To the maximum extent permitted by law, Shortlistr and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities; hiring decisions made based on AI-generated results; or unauthorised access to your data.
In no event shall our total liability exceed the amount you paid to use the Service in the 12 months preceding the claim, or $100 if no fees were paid.
9.3 Indemnification
You agree to indemnify, defend, and hold harmless Shortlistr and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
10. Service Availability and Modifications
We reserve the right to:
- Modify, suspend, or discontinue any part of the Service at any time
- Impose limits on features or restrict access to certain parts of the Service
- Perform scheduled or emergency maintenance that may temporarily interrupt Service availability
We will make reasonable efforts to notify you of significant changes or disruptions, but we are not liable for any Service interruptions.
11. Termination
You may terminate your account at any time by contacting us or using the account closure feature (if available).
We may terminate or suspend your access to the Service immediately, without prior notice, if you violate these Terms, your use poses a security or legal risk, or we discontinue the Service.
Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
12.2 Informal Resolution
Before pursuing formal dispute resolution, you agree to contact us to attempt to resolve the dispute informally. We will make a good faith effort to resolve any disputes within 30 days.
12.3 Arbitration
Any disputes not resolved informally shall be resolved through binding arbitration. The arbitration shall take place in a mutually agreed location, and judgment on the award may be entered in any court of competent jurisdiction.
13. Miscellaneous
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Shortlistr regarding the Service.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice.
Force Majeure
We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including acts of God, war, terrorism, or internet outages.
